12. Dispute Resolution

12.1 Informal Resolution

Before initiating any formal legal proceedings, both parties agree to attempt to resolve any dispute informally. We will attempt to resolve the dispute informally within thirty (30) days of receiving your notice. If the dispute is not resolved within this period, either party may proceed with formal dispute resolution as described below.

12.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Except for claims that qualify for small claims court, and except as otherwise set forth herein, any dispute, controversy, or claim arising out of or relating to these Terms, the Site, or the Services, or the breach, termination, or validity thereof, shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules (or Consumer Arbitration Rules, if applicable). The arbitration shall take place in the United States. The arbitrator shall apply United States federal law and the applicable state law to the merits of any dispute. The arbitration shall be conducted on an individual basis and not as a class action, collective action, or representative proceeding.

12.3 Class Action Waiver

YOU AND CHUY'S EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. If a court or arbitrator finds that this class action waiver is unenforceable, then the arbitration agreement shall be null and void with respect to such claim, and the parties agree to have that claim resolved in a court of competent jurisdiction.

12.4 Exceptions to Arbitration

Notwithstanding the above, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information. Nothing in this section shall be construed to limit either party's right to seek such relief.

These Terms of Service are effective beginning on the date you first access or use the Site and shall remain in full force and effect for as long as you continue to access or use the Site, unless earlier terminated in accordance with these Terms.

No waiver by Chuy's of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default.

These Terms of Service, together with our Privacy Policy and any other legal notices, policies, or guidelines published by Chuy's on the Site, constitute the entire agreement between you and Chuy's with respect to your use of the Site and Services. These Terms supersede all prior and contemporaneous agreements, representations, and understandings between you and Chuy's relating to the subject matter hereof, whether written or oral.

No amendment to or modification of these Terms shall be binding unless made in writing and signed by an authorized representative of Chuy's, except as otherwise provided herein with respect to changes to these Terms posted on the Site.
